Service Terms

These Terms and Conditions ("Terms") govern your access to and use of msgbrd.tv, a digital signage SaaS platform operated by msgbrd.tv ("we," "us," or "our"). By creating an account or using the platform, you agree to these Terms in full. If you do not agree, do not use the platform.

1. The Service

msgbrd.tv provides a cloud-based digital signage platform that allows businesses ("Organisations") to manage and display content on connected screens. Features include playlist management, slide scheduling, area-based screen grouping, emergency broadcasts, and real-time screen monitoring.

We reserve the right to modify, suspend, or discontinue any feature or the entire service at any time with reasonable notice. We are not liable to you or any third party for such changes.

2. Accounts and Registration

To use msgbrd.tv, you must register an account on behalf of an Organisation. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your login credentials.
• Notify us immediately at [email protected] of any unauthorised access.
• Accept responsibility for all activity that occurs under your account.

We may suspend or terminate accounts that contain false information, are inactive for an extended period, or are involved in abuse of the platform.

3. Subscriptions, Billing, and Payments

msgbrd.tv operates on a paid subscription model. There is no permanent free tier. The following billing terms apply:

• Trial Period: New accounts may be granted a limited trial period at our discretion. Upon expiry, access is suspended until a paid plan is activated.
• Billing Cycle: Subscriptions are billed monthly or annually in advance, as selected at the time of signup.
• Auto-Renewal: Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
• Price Changes: We will provide at least 30 days' written notice before changing subscription pricing. Continued use after the notice period constitutes acceptance.
• Refunds: Payments are non-refundable except where required by applicable law. Unused days in a billing period are not refunded upon cancellation.
• Failed Payments: If payment fails, access may be downgraded or suspended after a grace period. We will notify you via the registered contact email.

4. Acceptable Use

You may use msgbrd.tv only for lawful purposes and in accordance with these Terms. You must not use the platform to display or transmit:

• Content that is defamatory, obscene, hateful, threatening, or harassing.
• Content that infringes any intellectual property, privacy, or other rights of any person.
• Misleading, fraudulent, or false information.
• Unsolicited advertising or spam directed at viewers without appropriate consent.
• Content that violates any applicable local, national, or international law or regulation.

You are solely responsible for all content published through your account. We are a platform provider, not a publisher of your content.

5. Your Content

You retain ownership of all content you upload, create, or display through the platform ("Your Content"). By using msgbrd.tv, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely to operate and deliver the service to you.

We do not claim ownership of Your Content. We will not use it for marketing, training, or any purpose outside service delivery without your explicit consent.

You are solely responsible for ensuring You have all necessary rights, licences, and permissions to use and display Your Content on the platform.

6. Screen Devices and Hardware

The msgbrd.tv player software may be installed on screens and devices you own or control. You are responsible for:

• The procurement, installation, and maintenance of all hardware.
• Ensuring devices meet minimum compatibility requirements for the player.
• Any data or connectivity costs incurred by connected devices.
• Physical security and placement of screens in compliance with applicable laws.

We are not responsible for playback failures, data loss, or damage resulting from device hardware failures, power interruptions, or network outages outside our infrastructure.

7. Emergency Broadcasts

The emergency broadcast feature is provided as a convenience tool for operational communication. You must not use it to broadcast false emergency information, create panic, or simulate official emergency alerts. Misuse of this feature constitutes a material breach of these Terms and may result in immediate account suspension.

8. Intellectual Property

msgbrd.tv, including its software, design, APIs, trademarks, and documentation, is owned by us and protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the platform without our written consent.

Nothing in these Terms transfers any intellectual property rights to you beyond the limited licence to use the platform as described herein.

9. Uptime and Service Availability

We aim to maintain high availability of the platform but do not guarantee uninterrupted service. We perform maintenance, updates, and emergency fixes that may result in temporary downtime. Where planned maintenance is expected to exceed 30 minutes, we will provide advance notice via email or in-platform notification where practicable.

We are not liable for any loss or damage arising from service unavailability, however caused.

10. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using msgbrd.tv, you consent to data practices described in the Privacy Policy.

We do not sell your data to third parties. Screen diagnostic data, usage logs, and device telemetry are used solely to operate and improve the service.

11. Confidentiality

Each party agrees to keep confidential any non-public information obtained from the other in connection with these Terms, and not to disclose such information to any third party without prior written consent, except as required by law.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• The platform is provided "as is" and "as available" without any warranty of any kind, express or implied.
• We do not warrant that the service will be error-free, uninterrupted, or free of viruses or other harmful components.
• In no event shall our total cumulative liability to you exceed the amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, however caused.

13. Indemnification

You agree to indemnify and hold harmless msgbrd.tv and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to: (a) your use of the platform; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Termination

You may cancel your account at any time from your account settings. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or cause harm to other users or the platform. Upon termination, your right to access the platform ceases immediately. We may delete your data after a retention period of 30 days following termination, after which it is permanently deleted.

15. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-platform notice at least 14 days before taking effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree with changes, you must cancel your account before the effective date.

16. Governing Law

These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India. If you are accessing the platform from outside India, you are responsible for compliance with your local laws.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and msgbrd.tv regarding use of the platform.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
• No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
